1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and FundFlow Group Pty Ltd (ABN 36 694 667 386) ("FundFlow", "we", "us", or "our") governing your access to and use of the FundFlow mobile application (the "App") and related services (collectively, the "Service").

The Service is offered to users in the United States and Canada. By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.


2. Eligibility

To use FundFlow, you must:

  • Be at least 18 years of age (or the age of majority in your jurisdiction)
  • Be a resident of the United States or Canada
  • Have the legal capacity to enter into a binding agreement
  • Not be prohibited from using the Service under applicable law, and not be located in a country subject to U.S. or Canadian sanctions or embargoes, or on any government prohibited-parties list
  • Provide accurate and complete registration information

By using the Service, you represent and warrant that you meet these eligibility requirements.


3. Description of Service

FundFlow is a personal finance application that helps you:

  • Connect to your bank accounts through our third-party aggregator (Plaid)
  • View and organize your financial transactions
  • Categorize spending using customizable category hierarchies
  • Track balances across multiple accounts and currencies
  • Gain insights into your spending patterns, including AI-generated categorizations and summaries

FundFlow is a financial organization tool, not a financial advisor. We do not provide financial, investment, tax, or legal advice. Any insights, categorizations, or summaries provided by the App, including those generated using artificial intelligence, are for informational purposes only and may contain errors. You are responsible for your own financial decisions.


4. Account Registration and Security

4.1 Account Creation

To access the Service, you must create an account by providing a valid email address and a secure password, or by signing in with a supported third-party provider (Google or Apple).

4.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access at admin@fundflow.dev

4.3 Account Accuracy

You agree to provide accurate, current, and complete information and to update this information to maintain its accuracy.


5. Bank Connections

5.1 Third-Party Aggregator

FundFlow connects to your financial institutions through Plaid, a licensed third-party financial-data aggregator serving the United States and Canada. When you connect a bank account, you authorize Plaid to access your financial data on your behalf, and you agree to Plaid's end-user terms and privacy policy.

5.2 Credential Handling

Your bank login credentials are entered directly with Plaid, never with FundFlow. We do not store, access, or transmit your bank passwords.

5.3 Your Responsibilities

By connecting bank accounts, you represent that:

  • You are authorized to access those accounts
  • You consent to Plaid's terms of service and privacy policy
  • You understand that data sync depends on your bank's availability and Plaid's services

5.4 Data Accuracy

While we strive to display accurate financial data, we cannot guarantee real-time accuracy of balances or transactions, completeness of transaction history, or availability of all account types or features. You should always verify important financial information directly with your financial institution.


6. Acceptable Use

6.1 Permitted Use

You may use the Service only for lawful, personal, non-commercial purposes in accordance with these Terms.

6.2 Prohibited Conduct

You agree NOT to:

  • Use the Service for any illegal purpose
  • Access accounts you are not authorized to access
  • Attempt to reverse engineer, decompile, or hack the Service
  • Interfere with the security or integrity of the Service
  • Use automated systems (bots, scrapers) to access the Service
  • Share your account credentials with others
  • Misrepresent your identity or affiliation
  • Violate the rights of others, including privacy and intellectual property rights
  • Use the Service to harm, threaten, or harass others
  • Transmit malware, viruses, or other harmful code

6.3 Enforcement

We reserve the right to investigate and take appropriate action against violations, including suspending or terminating your account and reporting to law enforcement.


7. Intellectual Property

7.1 Our Rights

The Service, including its design, features, content, trademarks, and underlying technology, is owned by FundFlow and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

7.2 Your Data

You retain ownership of your personal and financial data. By using the Service, you grant us a limited license to use, process, store, and display your data, including by transmitting relevant data to our service providers and AI providers as described in our Privacy Policy, solely to provide and improve the Service.

7.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us the right to use them without obligation or compensation to you.


8. Privacy

Your privacy is important to us. Our collection, use, and disclosure of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our data practices as described in the Privacy Policy.


9. Subscriptions, Fees, and the Apple App Store

9.1 Paid Subscriptions

FundFlow is offered as a paid monthly subscription, which may be preceded by a free trial. The subscription price and billing terms are presented to you in the App before you purchase. By starting a subscription, you agree to the price and billing terms shown at the time of purchase.

9.2 Free Trial

If we offer a free trial, your access converts to a paid subscription at the end of the trial unless you cancel before the trial ends. We will make the trial terms clear before you begin. The specifics of any trial (length, when it begins, and whether payment details are required) are described in the App.

9.3 Billing Through Apple

Subscriptions are sold and billed through Apple's in-app purchase system. Payment is charged to your Apple ID account at confirmation of purchase. FundFlow does not collect or process your payment-card details; all payment is handled by Apple under your agreement with Apple.

9.4 Auto-Renewal and Cancellation

Subscriptions automatically renew unless you cancel at least 24 hours before the end of the current period. Your Apple ID account is charged for renewal within 24 hours before the end of the current period at the then-current price for the selected plan. You can manage or cancel your subscription, and turn off auto-renewal, in your Apple ID account settings. Deleting the App does not cancel your subscription.

9.5 Refunds

Payments are generally non-refundable except as required by law or by Apple's policies. Because billing is handled by Apple, refund requests are subject to Apple's processes; you may request a refund through Apple.

9.6 Price Changes

We may change subscription prices. We will give you advance notice as required by applicable law and by Apple, and price changes will not take effect until your next billing period. If you do not agree to a price change, you may cancel before it takes effect.

9.7 Third-Party Fees

You are responsible for any fees charged by your financial institutions, mobile carrier, or internet provider related to your use of the Service.

9.8 Apple App Store Terms

You acknowledge and agree that:

  • These Terms are concluded between you and FundFlow only, and not with Apple. Apple is not responsible for the App or its content.
  • Apple has no obligation to furnish any maintenance or support services for the App.
  • In the event the App fails to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price (if any) for the App; to the maximum extent permitted by law, Apple has no other warranty obligation with respect to the App.
  • Apple is not responsible for addressing any claims you or any third party may have relating to the App, including product-liability claims, claims that the App fails to conform to any legal or regulatory requirement, and claims arising under consumer-protection or similar legislation.
  • Apple is not responsible for the investigation, defense, settlement, or discharge of any third-party claim that the App or your use of it infringes that third party's intellectual property rights.
  • You represent that you are not located in a country subject to a U.S. Government embargo, or designated as a "terrorist supporting" country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.
  • Apple and its subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.

10. Disclaimers

10.1 "As Is" Basis

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY.

10.2 No Financial Advice

FundFlow does not provide financial, investment, tax, or legal advice. The categorizations, insights, and information provided by the Service, including AI-generated content, are for informational purposes only. You should consult qualified professionals for financial decisions.

10.3 Third-Party Services

We are not responsible for the availability, accuracy, or conduct of third-party services, including Plaid, your financial institutions, AI providers, or any linked services.

10.4 Data Accuracy

We do not guarantee the accuracy, completeness, or timeliness of financial data displayed in the App. Always verify important information with your financial institution.

10.5 Service Availability

We do not guarantee uninterrupted, secure, or error-free operation of the Service. The Service may be unavailable due to maintenance, updates, or circumstances beyond our control.


11. Limitation of Liability

11.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FUNDFLOW AND ITS DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, data, or goodwill
  • Service interruption or data loss
  • Unauthorized access to your accounts
  • Errors or inaccuracies in financial data
  • Any conduct of third parties

11.2 Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF:

  • The amount you paid to us in the 12 months preceding the claim, OR
  • USD $100

11.3 Essential Purpose

THESE LIMITATIONS APPLY EVEN IF ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

11.4 Jurisdictional Limitations

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law. Nothing in these Terms limits any rights you may have that cannot be waived under applicable consumer-protection law.


12. Indemnification

You agree to indemnify, defend, and hold harmless FundFlow and its directors, officers, employees, agents, and affiliates from any claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising from your use of the Service, your violation of these Terms, your violation of any third-party rights, your violation of any applicable law, or any data you submit through the Service.


13. Term and Termination

13.1 Term

These Terms remain in effect until terminated by you or us.

13.2 Termination by You

You may terminate your account at any time by deleting your account through the App or contacting us at admin@fundflow.dev. Terminating your account does not by itself cancel a subscription billed through Apple; cancel auto-renewal in your Apple ID settings (see Section 9.4).

13.3 Termination by Us

We may suspend or terminate your account at any time if you violate these Terms, we are required to do so by law, we discontinue the Service (with reasonable notice), or we believe your conduct may harm FundFlow, other users, or third parties.

13.4 Effect of Termination

Upon termination, your right to use the Service ceases immediately, we will delete your data in accordance with our Privacy Policy, and provisions that by their nature should survive will remain in effect (including Sections 7, 10, 11, 12, 15, and 16).


14. Modifications to the Service and Terms

14.1 Service Changes

We may modify, suspend, or discontinue any part of the Service at any time, with or without notice. We are not liable to you or any third party for such changes, except as required by law.

14.2 Terms Changes

We may update these Terms from time to time. When we make material changes, we will update the "Last Updated" date and notify you via email or in-app notification. Your continued use after such notice constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and delete your account.


15. Dispute Resolution and Governing Law

15.1 Informal Resolution

Before initiating any formal dispute, you agree to contact us at admin@fundflow.dev and attempt to resolve the dispute informally for at least 30 days.

15.2 Governing Law

These Terms are governed by the laws of New South Wales, Australia, without regard to conflict-of-law principles, except that nothing in these Terms deprives you of the protection of any mandatory consumer-protection laws of the U.S. state or Canadian province in which you reside, which continue to apply to you.

15.3 Jurisdiction

Subject to Section 15.2 and to any non-waivable right you have to bring proceedings in your place of residence, disputes arising from these Terms or the Service shall be resolved in the courts of New South Wales, Australia.

15.4 Class Action Waiver

To the maximum extent permitted by law, you agree to resolve disputes on an individual basis and waive the right to participate in class actions or class-wide proceedings.

Note (to be finalized with counsel): For a U.S./Canada consumer audience, the governing-law, forum, and any arbitration provisions in this Section should be reviewed and likely revised by a qualified U.S./Canada attorney (e.g., choice of a U.S. state law, an arbitration provider and seat, and a 30-day arbitration opt-out). This draft preserves consumers' non-waivable local rights pending that review.


16. General Provisions

16.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and FundFlow regarding the Service.

16.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.

16.3 Waiver

Our failure to enforce any provision of these Terms is not a waiver of that provision or our right to enforce it later.

16.4 Assignment

You may not assign or transfer your rights under these Terms without our consent. We may assign our rights without restriction.

16.5 Third-Party Beneficiaries

Except for Apple's rights under Section 9.8, these Terms do not create any third-party beneficiary rights.

16.6 Force Majeure

We are not liable for any failure or delay due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, government actions, or internet/power failures.

18. Acknowledgment

BY USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF SERVICE AND OUR PRIVACY POLICY.
